Overview:

• These terms and conditions as set forth and outlined are intended to clarify the agreement between you and SearchClinic.com.

Agreement:

• SearchClinic.com agrees to provide the xml or html code to the partner so that they may display SearchClinic.com paid listings on their web site. SearchClinic.com reserves the right to approve or disapprove the inclusion of the listings on the partners web site at our sole discretion.

Warranty:

• The SearchClinic.com content is provided on an "as is" basis. No warranty of any kind is given; either expressed or implied.

Non-disclosure and Confidentiality:

• All correspondence with SearchClinic.com whether written, verbal, or by any electronic means shall be considered confidential and shall not be disclosed to third parties without the written consent of both parties.

Partner Responsibilities:

• SearchClinic.com partners are fully responsible for the activity of it's affiliates and affiliate programs they may operate in regards to the validity of click-through's directed to SearchClinic.com's paid listings.
• Partner also agrees not to use e-mail, spam, or the like to generate searches or clicks.
• Partner furthermore agrees not to participate in click exchange or search exchange programs, or the like, and will block the IP address of any of it's affiliates who violate these terms.
• Partner agrees to keep all contact and payee information up to date and accurate.
• Partners that have false or incomplete partner details will not be paid. It is a requirement of participation of our program that complete and accurate details as relates to the partners correct country, address, name, and phone number be kept on file. Partners must understand basic english. Any partners that are known hackers, cheaters or have commited any other illegal or fraudulent activites elsewhere have the right to be removed from our program.
• Partners living in the US shall provide Federal Tax ID number or Social Security number to SearchClinic.com prior to their first payment; additionally all US partners must fill out prior to payment an IRS W9 Form. Partners living outside the US shall provide the necessary documents as requested by SearchClinic.com for the purpose of taxation, or other as determined by their country including an IRS W8 Form. Due to fraudulent information being submitted on IRS forms it is now a requirement that the forms be mailed along with a legible photocopy of some form of government issued photo identification with the payee name (Drivers License, Resident Alien Card, State I.D. Card, Passport...).
• Traffic Partners web site must be written in English and targetted to English speaking countries.

Prohibited Activity:

• The use of any script, bot, spyder, or other computer program to inflate clickthrus is strictly prohibited. Participation in any search exchange, click exchange, or "get paid to" program is strictly prohibited.
• Caching of listings is not allowed.
• Searches originating from open proxy servers are not allowed.
• Offering insentives of any sort to entice a user to search and/or click on any listing.

Content of Provided Listings:

• SearchClinic.com search boxes may be displayed on web page(s) so long as the pages do not contain, or promote - pornography, hate or violence, vulgar or obscene content, or any other objectionable material (as deemed by SearchClinic.com).

Compensation and Revenue:

• SearchClinic.com shall pay partners sixty percent (60%) of the actual keyword bid price for all listings that are determined to be valid clicks. Revenue generated by fraudulent means or violate these terms will not be compensated. Partners will also receive five percent (5%) of all personally referred advertisers and partners.
• At this time, all payments are made directly to an active partners Keyword Advertising account and are redeemable for advertising only and have no cash value.
• Once payment has been made to partner for the requested time period, it shall be determined to be compensation in full.

The following activities will result in non payment of clicks; clicks originating from countries OTHER THAN the United States, Canada, Japan, Australia, and most European countries, clicks on the same listing by the same user within a 24 hour period, and/or more than one (1) click from the same IP address within a 24 hour period.

Reporting:

• SearchClinic.com will provide on-line click-through reports to the partner by the use of a user name and password. Reports are subject to adjustments either up or down after our daily audit is performed to verify the validity of click through's.
• Any discrepancy in reporting shall be brought to the attention of SearchClinic.com within 10 days.

Limitation of Liability:

• Under no circumstances will SearchClinic.com be held liable for any special, indirect, incidental, or consequential damages; including but not limited to loss income or profits arising out of or related to this contract even if SearchClinic.com has been advised as to the possibility of said damages.
• SearchClinic.com makes no warranties either express or implied of merchantability, fitness for a particular purpose, or noninfringement. SearchClinic.com makes no warranties either express or implied that SearchClinic.com will be timely, secure, error free, or meet your requirements for a particular purpose.
• You agree to hold SearchClinic.com harmless as regards to loss of income or profits arising as the result of device or system failure or as a direct or indirect result of any outside attacks directed at SearchClinic.com

Understanding and Acceptance:

• Usage of this site implies agreement that he/she fully understands these terms and conditions, and accepts them as written.

Conclusion:

• These terms and conditions may be modified by SearchClinic.com at any time.

* If partner is found to have violated these terms by use of fraudulent means to generate clicks and/or revenue, immediate termination will result and all revenue earned will be relinquished.

If partner does not fully agree to these terms as outlined above, they are forewarned not to participate in any partner program that SearchClinic.com offers and/or participate in any programs offered by it's owners.
